Thank you for visiting nextgenlearning.org and all its subdomains (e.g., myways.nextgenlearning.org) (the “Website”), a website of Next Generation Learning Challenges, a project of Tides Center (“NGLC”). By using and/or visiting the Website, you agree to these Terms and Conditions of Use, as well as NGLC’s Privacy Policy. You understand that NGLC has the right to update these policies from time to time upon posting revised policies on the Website. By continuing to use the Website, you agree to the policies as amended. If you do not agree to any of these terms, please do not use the Website.

The Website may include links to third party websites. NGLC has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. In addition, NGLC will not and cannot censor or edit the content of any third party website. By using the Website, you expressly relieve NGLC from any and all liability arising from your use of the Website, as well as any third party website.
Website Access
NGLC hereby grants you permission to use the Website as set forth in these Terms and Conditions of Use, provided that you use the Website solely for noncommercial use. NGLC hereby grants you permission to make copies of any part of the Website, except for articles with named authors, in any medium to use for noncommercial purposes, provided that you retain NGLC’s marks and copyright notices on your copy. For articles with named authors, the authors retain the copyright to their intellectual content. Authors retain the right to publish their material elsewhere provided they acknowledge the original NGLC publication. Others must obtain consent from authors.

Restrictions on Use
You agree not to use or launch any automated system, including without limitation, “robots,” “spiders,” “offline readers,” etc., that accesses the Website in a manner that sends more request messages to NGLC’s servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Notwithstanding the foregoing, NGLC grants the operators of public search engines permission to use spiders to copy materials from the Website for the sole purpose of creating publicly available searchable indices of the materials. NGLC reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect or harvest any personally identifiable information from the Website, nor to use the communication systems provided by the Website for any commercial solicitation purposes. You agree not to solicit any users of the Website for any commercial purposes.

Indemnity
You agree to defend, indemnify and hold harmless NGLC, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys’ fees) arising from: (i) your use of and access to the Website; (ii) your violation of any term of these Terms and Conditions of Use; (iii) your violation of any third party right or any law, including without limitation any copyright, property, or privacy right; or (iv) any claim that content you submit via the Website violates any third party right or any law. This defense and indemnification obligation will survive these Terms and Conditions of Use and your use of the Website.
Ability to Accept Terms and Conditions of Use
You affirm that you have reached the age of majority in your jurisdiction or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms and Conditions of Use, and to abide by and comply with these Terms and Conditions of Use. In any case, you affirm that you are at least 13 years of age, as the Website is not intended for children under 13.
Assignment
These Terms and Conditions of Use, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by NGLC without restriction.
General
These Terms and Conditions of Use shall be governed by the internal substantive laws of the State of California, without respect to its conflict of laws principles. Any claim or dispute between you and NGLC that arises in whole or in part from the Website shall be decided exclusively by a court of competent jurisdiction located in the State of California. These Terms and Conditions of Use, together with the Privacy Policy and any other legal notices published by NGLC on the Website, shall constitute the entire agreement between you and NGLC concerning the Website. If any provision of these Terms and Conditions of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions of Use, which shall remain in full force and effect. No waiver of any term of this these Terms and Conditions of Use shall be deemed a further or continuing waiver of such term or any other term, and NGLC’s failure to assert any right or provision under these Terms and Conditions of Use shall not constitute a waiver of such right or provision. YOU AND NGLC AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE WEBSITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
